Terms of Service

1. Who we are and acceptance of these terms

Quiosque25 (“Quiosque25”, “we”, “us”) operates a music promotion platform that connects music artists and labels (“Clients”) with short-form content creators (“Creators”). Clients order promotion campaigns in which Creators publish Instagram Reels featuring the Client’s track; we verify each Reel and report the results. Creators can also earn revenue by using licensed tracks from our catalog in their Reels.

By using our website, requesting an estimate, placing an order, or creating an account, you accept these Terms of Service and our Privacy Policy. If you do not agree with them, do not use the platform. If you accept on behalf of a company or label, you confirm that you are authorized to bind that entity.

2. The service

Quiosque25 provides two connected services:

• Campaigns (for Clients): you order a fixed number of verified Reels featuring your track. Creators from our roster produce and publish the Reels, our scanning system verifies each one by its audio, and you receive a report of the results.
• Creator program (for Creators): registered Creators can earn money by using licensed tracks from our catalog in their Instagram Reels, based on verified views, and by taking part in paid campaigns.

3. Orders, estimates and pricing

• Estimates generated on the website are personalized offers. Unless stated otherwise, an estimate is valid for 7 days from the moment it is created; after that, we may re-quote.
• Campaign prices are stated in US dollars unless indicated otherwise. Taxes that must be collected by law (for example, VAT or sales tax collected by our payment provider) may be added at checkout.
• A campaign starts only after payment is confirmed. Until a campaign starts, we may decline any order at our discretion — for example, where the rights to a track are unclear, the content conflicts with our policies, or we lack capacity in the requested market. If we decline an order that has already been paid, we refund it in full.
• Package descriptions, target numbers and example view figures shown on the website are illustrative and based on historical data. The binding scope of your campaign is the number of verified Reels stated in your order.

4. What we deliver — and what we do not guarantee

Our deliverable is defined precisely: the number of verified Reels stated in your order, published by Creators and confirmed by our scanning system as featuring your track.

• We do not guarantee outcomes. We make no promises about views, plays, streams, saves, followers, listeners, chart positions, playlist placements, sales or any other commercial result. Audience behavior is outside anyone’s control, and any figures shown before or during a campaign are estimates, not commitments.
• A Reel counts as delivered once verified. Creators own their accounts, and social platforms remove or hide content for their own reasons. If a verified Reel later becomes unavailable, that does not undo its delivery. Where reasonably possible we aim to replace lost placements, but we are not obliged to do so.
• We do not sell engagement. We never promise or tolerate artificial views, bots or purchased engagement, and we may reject and replace any Reel that shows signs of manipulation.

5. Delivery promise

Each package includes a target delivery window. If we have not delivered the full number of verified Reels by the end of that window, the campaign continues at no extra cost until the full number is delivered. This continuation is your exclusive remedy for late delivery.

6. Payments, refunds and chargebacks

• Payment processing. Online payments are processed by Paddle, our merchant of record, under Paddle’s own buyer terms. In Brazil we may additionally accept Pix transfers. We never see or store your full card details.
• Payment in advance. Campaigns are paid before they start. We begin work only after payment is confirmed.
• Refunds. Once a campaign has started, fees are non-refundable. Issues with individual Reels (failed verification, signs of fraud, removal during the campaign) are fixed by replacing Reels and continuing the campaign as described in the Delivery promise — not by partial refunds. If we cancel a campaign before it starts, you receive a full refund.
• Chargebacks. If you open a payment dispute while the campaign is being delivered as agreed, we may pause the campaign and any related accounts until the dispute is resolved.

7. Your music and rights (Clients)

By ordering a campaign you confirm and warrant that:

• you own or control all rights in the track and in any materials you provide (including the recording and the composition, or the licenses needed), and that our use of them for the campaign does not infringe anyone’s rights;
• you grant us a non-exclusive, worldwide license to use the track, its artwork, metadata and your artist name to run the campaign — including making the track available to Creators for use in their Reels — and to verify and report the results;
• you are responsible for third-party claims arising from the content you provide, and you agree to indemnify us — that is, to cover our losses and reasonable legal costs — against such claims;
• unless you tell us otherwise in writing, we may reference your campaign (track name, artist name, aggregate results) in our own marketing materials and sample reports.

8. Creators and content ownership

• Creators are independent. They are not our employees or agents, and they keep full ownership of their Reels and their accounts.
• A campaign buys promotion, not content rights. Clients receive no license to download, repost or reuse Creators’ Reels outside our reports unless agreed separately with the Creator.
• Creators decide how to present a track creatively. We verify that a Reel features the Client’s track; we do not script Creators’ content.

9. Creator program

• You must provide truthful information, keep your credentials secure and hold only one account. Instagram verification is required before your Reels are tracked.
• Earnings are calculated from verified views of Reels that use catalog tracks, according to the rates and thresholds set in the platform. A minimum withdrawal amount applies; approved payouts are processed within 7 business days (Pix in Brazil, bank transfer elsewhere).
• Catalog tracks are licensed only for use in Instagram Reels created through the platform. You may not redistribute, resell or sublicense them, and using a track gives you no copyright in it.
• Campaign payments to Creators are fixed amounts agreed per campaign and are separate from view-based earnings. Artificial views, bots, duplicate accounts or any other manipulation lead to removal of the related earnings and may lead to account termination.

10. Prohibited conduct

Whatever your role, you may not:

• use bots, fake engagement, purchased views or any other artificial manipulation of metrics;
• upload or promote content that is illegal, hateful, defamatory or that infringes third-party rights;
• circumvent the platform — for example, by taking a campaign relationship off-platform to avoid fees;
• interfere with the operation of the platform, scrape it or attempt to access other users’ data.

11. Third-party platforms

Quiosque25 is not affiliated with, endorsed by or sponsored by Instagram, Meta, TikTok or YouTube. Campaigns depend on those platforms’ availability and policies, which can change at any time and are outside our control. We are not liable for their actions, including removal of content, restriction of accounts or changes in how views are counted.

12. Disclaimers and limitation of liability

• The platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties.
• To the maximum extent permitted by law, we are not liable for indirect or consequential damages, lost profits, lost revenue or lost data.
• Our total liability to a Client is capped at the amount paid for the campaign giving rise to the claim. Our total liability to a Creator is capped at the earnings legitimately owed to that Creator at the time of the claim.
• Nothing in these terms excludes liability that cannot be excluded under applicable law, including mandatory consumer protection rules where they apply.

13. Suspension and termination

We may suspend or terminate accounts and campaigns in case of a breach of these terms, fraud or legal risk. For Creators, legitimate pending earnings are paid out before termination, except where they result from fraud. If we terminate a paid campaign without any breach on the Client’s side, we refund the undelivered part proportionally.

14. Changes to these terms

We may update these terms from time to time. For significant changes we notify registered users by email, and the “last updated” date above changes. Continued use of the platform after changes take effect constitutes acceptance. Orders already placed remain governed by the version in force at the time of the order.

15. Governing law

These terms are governed by the laws of the Federative Republic of Brazil. Before starting any formal proceedings, you agree to contact us first and attempt to resolve the dispute amicably. Mandatory consumer protection rules of your country of residence remain unaffected where they apply.
